REGISTRATION
Registration of a company name, company formation or company incorporation are different names for the same thing: the company becomes a legal entity separate from its owners - the shareholders.
Most
company formations are now handles by a
company formation agent and
this can be done complete on-line. Would you do
it yourself you pay companies house £35.00 and
know how to complete the relevant documents. You
also need to purchase additional documents and
know how to issue the share certificates and the
relevant registers. These documents are not
widely available from and therefore most people
use company formation agents.
For electronic registration, the registration fee is lower and more importantly no solicitor needs to swear a statutory declaration (Form12). According to companies house 90% of all incorporations are
now completed electronically.
You register a company by delivering the following documents to companies house, obtain name approval and paying the registering fee:
1 Form IN01 Application to register a
company contains
- the company name - IMPORTANT
check name availability
- the location of the registered office
address, (either England & Wales, Northern
Ireland, Scotland or Wales)
- the consenting company secretary (if
applicable) and director(s)
- the subscriber details
- the share capital details and the
prescribed particulars relating to each
class of shares (only for companies limited
by shares)
2 Memorandum of Association
Contains the names and signatures of the
subscribers who are forming the company, and for
companies limited by shares a commitment that
each subscribers will take at least one share.
3 Articles of Association
Contains details of running the company,
internal management affairs and liability - they
are the company’s internal rulebook. A company
can choose to use the standard Model Articles
and if they do so do not need to file these with
Companies House.
Electronic incorporations are possible
through an authorised company formation agent. Currently there
are more than 60 company formation agents authorised for
electronic incorporations. The electronic incorporation
save a lot of time and in our view compares best to same day
incorporation service which otherwise would cost £ 50.00.
Many accountants use limited company formation agents because they are cheaper and specialists in this area.
Certificate of incorporation
The certificate of incorporation is issued by
companies house and the paper version needs to be printed on
specific, expensive paper. Because most banks will require the
printed version we include this in all our company formation
solutions free of charge, where other company formation agents
will charge typically £10.00-£15.00.
Share Certificates
You are required to issue share certificates
to shareholders within two months after incorporation. When you

This saves you buying them at a legal stationary or paying for
it in case your agent does supply them separately. It is quite
common for other companies to charge £10.00 - £20.00 for a
single certificate.
